Terms of service

Last updated

1. Introduction

These terms govern work carried out by addhass, the trading name of Addam Hassan, a sole trader based at 20 Valeside, Hertford, Hertfordshire, SG14 2AR. They apply alongside the statement of work for a specific engagement. Where the two differ, the statement of work takes precedence.

2. Services

addhass provides search consultancy: strategy, AI search visibility, technical SEO, content and on-page optimisation, digital PR and authority building, and reporting. The precise scope of any engagement is set out in its statement of work.

3. Engagement and scope

Work begins once a statement of work is agreed and any deposit is paid. Anything outside the agreed scope is quoted separately and is not started without your approval. Where an engagement is a retainer, unused days carry into the following month only and are not refundable beyond that.

4. Fees and payment

Fees, the payment schedule and any separate budgets are set out in the statement of work. Invoices are payable within fourteen days unless agreed otherwise. Late payment may accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. Any third-party budget, such as a link acquisition budget, is separate from fees, is passed through at cost, and is invoiced before the period in which it is spent.

5. Client responsibilities

addhass provides recommendations, specifications and priorities. Implementation on your website is your responsibility unless the statement of work says otherwise. Delivery depends on you providing timely access, approvals and information. Where recommendations are not implemented, or are implemented differently, results will differ and addhass is not responsible for that difference.

6. Intellectual property

On payment in full, you own the deliverables produced specifically for you: audits, strategies, documentation and recommendations. addhass retains ownership of its own methods, frameworks, templates and tooling, and may reuse them. Nothing here transfers rights in either party's pre-existing material.

7. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the engagement. This includes your data, commercial information and anything shared in the course of the work. Where specialists are engaged to support delivery, they are bound by equivalent terms. addhass will not name you as a client or publish results from your engagement without your written agreement.

8. Termination

Either party may end a rolling engagement by giving the notice period stated in the statement of work, which is ordinarily thirty days. Fees for work already carried out remain payable. Any unspent third-party budget is refunded. Fixed-scope projects may be ended early, with fees payable for the work completed to that point.

9. No guaranteed outcomes

addhass guarantees effort and expertise, not specific results. Search rankings, traffic and revenue are affected by search engines, competitors and your own market, none of which we control. We do not promise a position, a traffic figure or a revenue outcome, and you should treat any agency that does with caution. What we do commit to is telling you honestly what is working, what is not, and what we intend to do about it.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud. Otherwise, addhass's total liability for any engagement is limited to the fees paid for that engagement. addhass is not liable for indirect or consequential loss, including lost profits, revenue or data.

11. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

12. Changes to these terms

These terms may be updated, and the date shown on this page will change. The terms that apply to an engagement are those in force when its statement of work was agreed.
